Terms of use

Last updated 24 October 2026 · Applies to rite.digital, the Rite support portal, trials and downloads

In short

01

These terms

These terms of use are an agreement between you and Rite Software Solutions LLC (“Rite”, “we”, “us”), 16000 Park Ten Place, Suite 702, Houston, TX 77084, United States. They apply when you use:

  • rite.digital and any other Rite website that links to these terms (the “Sites”);
  • the Rite support portal at ritesupport.rite.digital;
  • free trials, evaluation copies and downloads we make available from the Sites, including CloudMiner.

By using the Sites you accept these terms and our privacy policy. If you are using them for a company, you confirm you may accept on its behalf, and “you” means that company too. If you do not agree, please do not use the Sites.

You must be at least 18 to register for an account, a trial or a download.

02

Rite applications and services

The Sites describe Rite’s AI applications, AI agents, consulting, implementation and managed services. Buying or subscribing to any of them is governed by a separate written agreement: an order form and the Rite customer agreement, a statement of work, or the terms of the Oracle Cloud Marketplace listing you install. That agreement, not these terms, sets out licences, fees, service levels, support, data processing and liability for the product or service.

If these terms and a product agreement conflict, the product agreement applies to that product or service.

Trials and downloads

Where we offer a free trial or evaluation download, we grant you a limited, non-exclusive, non-transferable licence to install and use it for your own internal evaluation for the trial period shown. Trial software is provided as is, may be limited in features, and may stop working when the trial ends. Do not use it for production work unless your product agreement says you can. We may end a trial at any time.

Oracle products

Rite applications work with Oracle Cloud and other Oracle products. Your use of Oracle products is governed by your agreement with Oracle. Rite does not grant any rights in Oracle software, and Oracle is not a party to these terms. Oracle and Java are registered trademarks of Oracle and/or its affiliates.

03

Accounts and the support portal

  • Give accurate, current information when you register, and keep it up to date.
  • Keep your sign-in details private. You are responsible for what is done with your account until you tell us it has been compromised at mail@rite.digital or through the support portal.
  • Accounts are for one named person. Do not share a sign-in, and do not let anyone outside your organisation use it.
  • The support portal is for customers and partners with a current agreement. Tickets, chats and files you submit may be read by Rite support staff and our support desk provider to resolve your request. Please do not upload passwords, payroll files or other personal data unless support asks for them and you have the right to share them.
  • We may suspend or close an account that is inactive, used in breach of these terms, or that belongs to a customer whose agreement has ended.
04

Acceptable use

You agree not to:

  • use the Sites for anything unlawful, or in a way that infringes anyone’s rights;
  • copy, scrape, crawl or harvest content, data or contact details from the Sites, by hand or with a tool, beyond what a normal search engine does;
  • probe, scan or test the security of the Sites or the support portal, or try to get around any access control, without our written permission;
  • upload malware, or anything that is defamatory, obscene, discriminatory or misleading;
  • pretend to be someone else, or misstate who you work for;
  • reverse engineer, decompile or otherwise try to obtain the source code of any Rite software, except where the law gives you that right;
  • resell, sublicense or offer trial software or downloads to anyone else;
  • use our content, product names or logos to suggest Rite endorses you or your product;
  • send us unsolicited marketing through our forms or the support portal.

We may remove content, block access or close accounts that break these rules, and we may report unlawful activity to the authorities.

05

Content on the Sites

We work hard to keep the Sites accurate and current, but the content is for general information. Product descriptions, screenshots, figures, roadmaps and case studies describe typical use and may change without notice. They are not a promise that a product has a particular feature or will deliver a particular result for you. Only your product agreement and its documentation describe what you are buying.

Nothing on the Sites is legal, tax, accounting, payroll or regulatory compliance advice. Our applications help your team apply rules such as prevailing wage, revenue recognition or lien law, but your organisation remains responsible for its compliance. Check with your own advisers.

Some content, such as webinar recordings, brochures and sample files, is offered for download. You may use it for your own internal purposes and share it unchanged, with Rite’s name and notices intact.

06

Intellectual property

The Sites and everything on them, including text, designs, illustrations, video, software, product names and logos, belong to Rite or our licensors and are protected by copyright, trademark and other laws. Rite, the Rite logo, CloudMiner, ConvertRite, ConvertLite, RiteSync, ConfigRite, RevRite, CrewRite, AIA Workbench, EquipRite, PayWhenPaid, ProcureRite, LienRite, Invoice Backup and OnboardRite are trademarks of Rite Software Solutions LLC. Other names belong to their owners.

You may view, download and print pages for your own business use while deciding whether to work with us. Any other use needs our written permission. Please contact mail@rite.digital for press and partner requests.

Feedback

If you send us ideas or suggestions about our products or Sites, you agree we may use them without any obligation to you. We will not use your name in connection with them without asking.

Copyright complaints

If you believe content on the Sites infringes your copyright, send a notice under the Digital Millennium Copyright Act to mail@rite.digital with the subject “Copyright notice”, describing the work, where it appears on the Sites, your contact details, and a statement that you believe in good faith the use is not authorised.

07

Third-party sites and services

The Sites link to Oracle, LinkedIn, event platforms, booking tools and other companies. We do not control those sites and are not responsible for their content, availability or how they handle your data. Your use of them is subject to their own terms. A link is not an endorsement.

08

Privacy

Our privacy policy explains what personal information we collect through the Sites and the support portal, how we use it and your choices. It forms part of these terms. Data you load into a Rite application is governed by the data processing terms in your product agreement.

09

Disclaimers

The Sites, the support portal and any trial software are provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties of any kind about them, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that they will be uninterrupted, error-free or free of harmful components. We may change, suspend or withdraw any part of the Sites at any time for maintenance, upgrades or any other reason.

Nothing in these terms limits warranties or remedies you have under a product agreement, or any rights that cannot be excluded by law.

10

Limitation of liability

To the fullest extent the law allows, Rite and its officers, employees, partners and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from your use of the Sites, the support portal or any trial software, however caused and under any theory of liability, even if we were told such damages were possible.

Our total liability for all claims relating to the Sites, the support portal and trial software in any twelve-month period will not exceed one hundred US dollars (US$100). Liability for a paid product or service is set out in its product agreement.

Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be excluded by law.

11

Your responsibility to us

You agree to defend and indemnify Rite and its officers, employees and partners against any claim, loss or cost, including reasonable legal fees, arising from your breach of these terms, your misuse of the Sites or trial software, or content you submit. We will tell you promptly about any such claim and cooperate with you in defending it. We may take over the defence of a claim at our own cost.

12

Ending access

You can stop using the Sites at any time. To close a support portal or trial account, write to mail@rite.digital and we will process the request within five business days. We may suspend or end your access to the Sites or an account if you break these terms, if the law requires it, or if we withdraw a service, and we will tell you why where we reasonably can.

Sections 5 to 14 continue to apply after your access ends.

13

Governing law and disputes

These terms are governed by the laws of the State of Texas and the federal laws of the United States, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If we have a dispute, we will each try to resolve it first by talking: write to mail@rite.digital and a senior person at Rite will respond within 15 business days. If that does not settle it within 60 days, the state and federal courts located in Harris County, Texas will have exclusive jurisdiction, and we each agree to that jurisdiction and venue. Either of us may seek an injunction in any court to protect intellectual property or confidential information.

Any claim relating to the Sites must be brought within one year of the event that gave rise to it, where the law allows that limit.

14

General

  • Entire agreement. These terms and the privacy policy are the whole agreement between you and Rite about the Sites, the support portal and trial software. Product agreements are separate.
  • Changes. We may update these terms. For material changes we will post the new version with a new “last updated” date and give at least 30 days’ notice on the Sites or by email to account holders before it takes effect. Using the Sites after that date means you accept the new terms. The change log below shows what changed.
  • Notices. Notices to Rite go to mail@rite.digital or to the postal address in section 1. Notices to you go to the email on your account or are posted on the Sites.
  • Assignment. You may not transfer these terms without our written consent. We may transfer them to a successor to our business, and will tell you if we do.
  • Force majeure. Neither of us is liable for delay or failure caused by events outside our reasonable control, such as internet or cloud outages, cyber attacks, strikes, natural disasters or government action.
  • Severability and waiver. If a court finds part of these terms unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it.
  • Export. Trial software may be subject to US export laws. You agree not to download or use it in breach of those laws.
  • Language. These terms are written in English. If we provide a translation, the English version governs.
